This agreement

These Terms of Service ("Terms") govern the services provided by Register Your Business ("we", "us", "our"), to you, our client ("you").

By asking us to begin work — for example by confirming a package on WhatsApp, sending us your documents, or paying a deposit or the full fee — you accept these Terms. If you do not accept them, please do not place an order.

What we are, and what we are not

We are an independent filing and compliance service. We are not the Corporate Affairs Commission, the Nigeria Revenue Service, SCUML, the trademarks registry, or any other government agency, and we are not affiliated with or endorsed by them. We prepare and submit filings on your behalf; the agencies decide the outcome.

We are not a law firm and we do not provide legal, tax, accounting or investment advice. What we tell you about structures, timelines and requirements is general guidance based on our experience of the filing process. For advice on your specific legal or tax position, please consult a qualified professional.

Our services

Depending on the package you order, we may provide:

• CAC filings: business name registration, or incorporation of a limited company including MOA/AOA documentation and share allotment paperwork.
• Compliance filings: Tax Identification setup with the Nigeria Revenue Service, SCUML registration, and trademark filing support (one class unless otherwise agreed).
• Brand and digital services: logo and visual identity, business profile and stationery, website design and build, business email, payment gateway and booking setup, and Google Business Profile setup.

The exact inclusions of your package are the ones we confirm with you in writing before work begins. Where anything in this website's pricing differs from what we confirmed with you directly, the written confirmation applies.

Quotes, fees and government charges

• Our prices are quoted in Nigerian Naira (₦) and are the flat professional fees for the package described.
• Government and statutory fees (including CAC filing fees, stamp duty, and trademark registry fees) are confirmed with you before filing. Where a package price includes them, we will say so in writing.
• If an agency changes its fees, or your filing turns out to need more than the package covers (for example additional directors, additional trademark classes, or an expedited service), we will tell you the extra cost and get your approval before proceeding.
• Published prices may change at any time. The price that applies to you is the one we confirmed for your order.
• Any bank charges, transfer fees or payment gateway fees are yours to bear.

Payment

• We normally begin work after a deposit is received, and complete delivery after the balance is paid, unless we agree otherwise in writing.
• Pay only into the account details we confirm to you through our official channels. We will never ask you for your card PIN, bank password or OTP. If you receive account details that look different from ours, stop and confirm with us on +234 703 961 4337 before paying.
• Certificates, source files and final deliverables are released once payment has cleared in full.
• If a balance stays unpaid, we may pause work and hold deliverables until it is settled.

Your responsibilities

We rely on what you give us. You agree that:

• the information and documents you provide are accurate, complete, current and genuine, and that you are entitled to provide them;
• you will provide any outstanding information promptly, since filings cannot proceed without it;
• you have the right to use any business name, logo, text or image you ask us to file or publish, and that it does not infringe anyone else's rights;
• you will not use our services for any unlawful purpose, including fraud, money laundering or terrorist financing;
• you will keep your certificates, login details and business email credentials secure once we deliver them.

We may carry out identity and anti-money-laundering checks, and we may decline or stop work — and report the matter where the law requires — if documents appear to be forged, if information appears to be false, or if a request appears to be unlawful.

Outcomes and timelines

Filing outcomes are decided by the relevant government agency, not by us. This means:

• Name approval is not guaranteed. The CAC can reject or query a proposed name, including one that seemed available. This is why we ask for alternatives.
• Trademark registration is not guaranteed. We provide filing support; the registry examines the application, and third parties may oppose it. Registry fees are not refundable if an application is refused or opposed.
• Timelines are estimates. Any timeline we give is based on normal agency processing. Delays caused by agency backlogs, portal downtime, verification queries, public holidays, strikes or incomplete client documents are outside our control.

Where a filing is queried, we will tell you what the agency asked for and resubmit once you have supplied it. Our fee covers reasonable resubmissions arising from the process; repeated resubmissions caused by inaccurate information from you may attract an additional fee, which we will agree with you first.

Websites, branding and digital deliverables

• Website and branding work is delivered by our own design and development team as part of your package.
• Your package includes a reasonable number of revision rounds, which we confirm with you at the start. Additional rounds, or changes to an agreed scope, may attract a further fee.
• You are responsible for supplying content (text, images, product details) unless we agreed to produce it. Delays in supplying content will delay delivery.
• Domains, hosting, business email and third-party services (such as payment gateways) are subject to the terms and renewal fees of those providers. Where the first year is included in your package, renewals afterwards are your responsibility unless we agree otherwise in writing.
• On full payment, the final logo files and website content we produced for you are yours. We keep ownership of our underlying tools, templates, frameworks and know-how, and we may reuse them for other clients.
• We may show the finished work in our portfolio and marketing unless you tell us in writing that you would rather we did not.

Confidentiality and data protection

We treat your documents and business information as confidential, and share them only as needed to deliver your service or where the law requires. How we handle personal information is set out in our Privacy Policy, which forms part of these Terms.

Communication

WhatsApp is our main channel, and messages there are part of the record of your order. Please keep your own copies of important confirmations. Messages sent through third-party platforms depend on those platforms' availability and security, which we do not control.

Our liability

We will carry out your work with reasonable care and skill. To the extent permitted by Nigerian law:

• our total liability to you for any claim connected with a service is limited to the professional fees you paid us for that service;
• we are not liable for indirect or consequential losses, including loss of profit, loss of business, loss of contracts or loss of goodwill;
• we are not liable for delays or refusals caused by government agencies, for the acts of third-party providers, or for events outside our reasonable control;
• we are not liable for losses caused by inaccurate, incomplete or late information from you.

Nothing in these Terms limits liability for fraud, or for anything that cannot lawfully be limited.

Cancellation and refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these Terms. In summary: once a filing has been submitted or a government fee has been paid, that portion is not refundable, because the money has left our hands.

We may end an engagement — and refund any unused portion of the fee — if you ask us to do something unlawful, if you do not supply required documents within a reasonable time, or if the relationship breaks down.

Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we ask that you contact us first so we can try to resolve it directly. If we cannot resolve it within 30 days, the dispute will be subject to the jurisdiction of the Nigerian courts.

Changes to these Terms

We may update these Terms as our services or the law change. The "last updated" date shows when they were last revised. The version in force when you placed your order is the one that applies to that order.
